Urgent: match and/or cleanup badly lit photo?

any tutorials on improving a photo using photoshop ? maybe a plugin for photoshop that improves on bad lighting in a photograph ? I also have another image that will be used in the comp so maybe there is someway of matching the colors/light to the bad image ?
